Seller Policy & Payout Terms

Section 5 sets out seller warranties, verification obligations, prohibited goods, disclosure duties, fulfilment rules, dispatch timing, and proof of shipment requirements. Section 11 covers payment processing, escrow, seller payouts, withholding, and marketplace fees.

5.1

Seller Representations and Warranties

Each Seller represents and warrants on a continuing basis that: they hold valid legal title and right to sell; all items are authentic, genuine, and free from encumbrance; all descriptions, photos, and attributes are accurate and not misleading; and listing does not infringe any third-party IP rights.

5.2

Seller Verification

A. Purpose of Seller Verification

To maintain a secure, trusted and transparent marketplace, every Seller must complete LUXSAL's verification process before listing products or receiving payouts. Seller verification helps confirm the identity and legitimacy of Sellers, reduces fraud, protects Buyers, and supports compliance with applicable laws and regulatory requirements.

Seller verification is a key trust and safety measure. It helps ensure that only genuine individuals and businesses trade on the Platform, reducing the risk of fraudulent activities, counterfeit goods and identity theft.

B. Verification Requirements for Individual Sellers

Individual Sellers are required to provide information that enables LUXSAL to verify their identity. This may include:

  1. 1.Full Legal Name: To accurately identify the Seller and ensure that account information matches official records.
  2. 2.National Identification Number (NIN): To verify identity and support Know Your Customer (KYC) obligations.
  3. 3.Government-Issued Identification: Such as a National Identity Card, Driver's License or International Passport to confirm the Seller's identity.
  4. 4.Telephone Number: To facilitate account verification, transaction notifications and customer communication.
  5. 5.Email Address: To receive important notices, account updates and Platform communications.
  6. 6.Residential Address: To assist with identity verification, fraud prevention and regulatory compliance.
  7. 7.Bank Account Details: To verify ownership of the account into which Seller payouts will be made and to reduce payment fraud.

C. Verification Requirements for Business Sellers

Business Sellers may be required to provide additional information to confirm that they are legally registered and authorized to trade. This may include:

  1. 1.Registered Business or Company Name.
  2. 2.Certificate of Incorporation or Business Registration.
  3. 3.Corporate Affairs Commission (CAC) Registration Number.
  4. 4.Tax Identification Number (TIN), where applicable.
  5. 5.Registered Business Address.
  6. 6.Details of the authorized representative.
  7. 7.Corporate Bank Account Details.
  8. 8.Any licenses or permits required for the sale of particular goods.

D. Additional Verification Requirements

LUXSAL reserves the right to request additional documents or information at any time where reasonably necessary. Such documents may include:

  1. 1.Proof of address.
  2. 2.Supplier invoices or purchase receipts.
  3. 3.Product authenticity certificates.
  4. 4.Importation or customs documents.
  5. 5.Trademark authorization letters.
  6. 6.Recent bank statements.
  7. 7.Photographs or videos of inventory.

E. Enhanced Verification

Certain Sellers may be subject to enhanced verification where the nature of their business or transactions presents a higher level of risk. Enhanced verification may apply to Sellers dealing in luxury fashion items, high-value products, high-volume transactions or where suspicious activity has been identified.

Enhanced verification enables LUXSAL to carry out additional due diligence, strengthen fraud prevention measures and protect the interests of Buyers and the Platform.

F. Failure to Complete Verification

Where a Seller fails to complete the required verification process, provides false or misleading information, or refuses to submit requested documents, LUXSAL may, at its sole discretion:

  1. 1.Decline or suspend the Seller's registration.
  2. 2.Restrict access to certain Platform features.
  3. 3.Remove product listings.
  4. 4.Delay or withhold Seller payouts.
  5. 5.Suspend or permanently terminate the Seller's Account.
  6. 6.Report the matter to the appropriate regulatory or law enforcement authorities where required by law.

G. Periodic Re-Verification

To ensure that Seller information remains accurate and up to date, LUXSAL may require Sellers to undergo periodic re-verification. Sellers may be asked to confirm or update their personal, business or banking information from time to time.

Periodic re-verification helps maintain accurate records, supports ongoing compliance with legal requirements and strengthens marketplace security as the Platform grows.

H. Verification Does Not Constitute Endorsement

Successful completion of the Seller verification process does not constitute an endorsement, guarantee or certification by LUXSAL of the Seller's products, business practices or future conduct. Buyers are encouraged to review product descriptions, ratings and other relevant information before making a purchase.

Verification confirms a Seller's identity and eligibility to use the Platform but does not guarantee the quality, authenticity or performance of every product listed for sale. This provision helps manage user expectations while preserving LUXSAL's role as a marketplace facilitator rather than the seller of third-party goods.

5.3

Prohibited Goods

The listing or sale of counterfeit, replica, stolen, smuggled, or otherwise illegal goods is a material breach. LUXSAL will remove such listings immediately, suspend the Account, forfeit pending payouts, and may report to NCS, NAFDAC, or Police. Sellers bear full liability.

5.4

Duty of Disclosure

Sellers must disclose all material defects, alterations, repairs, or conditions that a reasonable Buyer would consider relevant to value or use. Failure to disclose constitutes a "materially inaccurate description" and triggers Buyer Protection under Section 4.

5.5

Seller Fulfilment Obligations

Sellers are responsible for fulfilling every order accepted through the LUXSAL Marketplace promptly, accurately and in accordance with this Policy Suite. Sellers must exercise reasonable care throughout the order fulfilment process to ensure that Buyers receive the correct products in the condition described at the time of purchase.

Upon receiving an order, the Seller shall:

  1. 1.Confirm the availability of the item before accepting the order.
  2. 2.Package the item securely to prevent damage during transit.
  3. 3.Dispatch the order within twenty-four (24) hours of order confirmation, unless a longer handling period is clearly stated on the product listing before the Buyer completes the purchase.
  4. 4.Use a reliable courier or logistics provider approved or accepted by LUXSAL where applicable.
  5. 5.Upload valid proof of shipment within the required timeframe.
  6. 6.Ensure that the item delivered matches the product description, photographs, specifications and quantity displayed on the Platform.
  7. 7.Comply with all applicable laws, regulations and LUXSAL policies relating to product quality, consumer protection and marketplace standards.

Performance and Enforcement

These obligations ensure that Sellers process and deliver orders efficiently, accurately and responsibly. Prompt fulfilment improves Buyer confidence, reduces delivery delays, minimizes disputes and contributes to a positive marketplace experience.

Where a Seller is unable to fulfil an accepted order due to stock unavailability, product damage or any other unforeseen circumstance, the Seller must immediately notify LUXSAL through the Platform. LUXSAL may cancel the order, refund the Buyer where appropriate and take any necessary action to protect the integrity of the Marketplace.

Repeated failure to fulfil orders within the required timeframe, excessive cancellations, inaccurate listings or poor fulfilment performance may result in corrective measures by LUXSAL, including warning notices, temporary suspension of listings, withholding of payouts, account restrictions or permanent termination of the Seller's Account, depending on the severity and frequency of the breach.

These enforcement measures encourage Sellers to maintain high service standards, protect Buyers from avoidable inconvenience and help preserve trust in the LUXSAL Marketplace.

5.6

Dispatch Time Requirements

Sellers must dispatch orders within 24 hours of payment confirmation, unless a longer Handling Time is clearly stated and selected on the listing before the Buyer completes checkout.

The default 24-hour dispatch time is to create a faster marketplace experience and improve buyer confidence during the MVP phase. Sellers who cannot meet this must set a longer Handling Time upfront. Failure to dispatch within the stated time without communication is treated as Seller Default under Section 5.2.

5.7

Proof of Shipment

To promote transparency and timely order tracking, every Seller must upload valid proof of shipment after handing an order to the approved courier or logistics provider.

For the MVP launch, Sellers are required to upload a tracking number, waybill, courier receipt or other verifiable proof of shipment within three (3) hours of handing the parcel to the courier, or by the end of the same Business Day where operationally reasonable.

Prompt submission of proof of shipment allows Buyers to begin tracking their orders immediately, enables LUXSAL to verify that dispatch has occurred, reduces unnecessary disputes about shipment status, and supports faster dispute resolution where issues arise.

Acceptable proof of shipment may include:

  1. 1.A valid courier tracking number.
  2. 2.A waybill or shipment receipt issued by the logistics provider.
  3. 3.A courier collection confirmation.
  4. 4.Electronic shipment confirmation from an approved logistics partner.
  5. 5.Any other verifiable evidence accepted by LUXSAL.

Failure to Upload Proof

Where a Seller fails to upload proof of shipment within the required timeframe without a reasonable explanation, LUXSAL may presume that the order has not been dispatched. In such circumstances, LUXSAL may delay or withhold the Seller's payout, cancel the order, issue a refund to the Buyer where appropriate, or take any other action reasonably necessary under this Policy Suite.

This requirement encourages prompt fulfilment, improves Buyer confidence, enhances marketplace transparency, and helps protect both Buyers and Sellers by maintaining accurate shipment records.

11.1

Approved Payment Gateways

All payments must be processed exclusively through LUXSAL-integrated, CBN-licensed payment gateways. Off-platform payments void Buyer Protection and violate this Policy. LUXSAL is not responsible for funds sent outside the Platform.

11.2

Escrow & Services

Buyer funds are held in escrow until delivery is confirmed or the 3-day auto-release period lapses without dispute. Upon release, funds are remitted to Seller less commission, gateway fees, and applicable taxes. New Sellers are subject to a 14-day rolling reserve for the first 90 days.

11.3

Seller Payouts

LUXSAL facilitates Seller payouts for eligible transactions completed through the Platform. All payouts are subject to the successful completion of the transaction, compliance with this Policy Suite and the satisfaction of all applicable escrow release conditions.

Seller payouts shall only be made after:

  1. 1.The Buyer confirms satisfactory delivery of the order through the Platform.
  2. 2.The applicable three (3) calendar day Dispute Window expires without an eligible dispute being raised.
  3. 3.Any dispute relating to the transaction has been fully resolved and LUXSAL authorises the release of the escrow funds.

Deductions and Payout Summary

Before any payout is processed, LUXSAL may deduct applicable marketplace commissions, payment gateway charges, taxes (where required by law), approved refunds, return shipping costs recoverable from the Seller, and any other authorised deductions communicated under this Policy Suite.

Sellers will be able to view a detailed breakdown of all applicable deductions through their Seller Dashboard or other communication made available by LUXSAL before the net payout is released.

Providing a detailed payout summary promotes transparency by allowing Sellers to understand how their final payout amount has been calculated and reducing disputes over deductions.

Rolling Reserves and Payout Holds

For newly registered Sellers, LUXSAL may apply a rolling reserve or temporary payout hold during an initial risk assessment period to protect the Marketplace against fraud, excessive chargebacks, counterfeit goods or other policy violations. The duration and conditions of such reserve will be communicated to the Seller before or during onboarding.

LUXSAL reserves the right to delay, withhold, reverse or adjust Seller payouts where there are reasonable grounds to believe that:

  1. 1.A dispute or Buyer Protection claim has been submitted.
  2. 2.Fraudulent or suspicious activity has been detected.
  3. 3.The Seller has breached this Policy Suite.
  4. 4.Additional verification or regulatory checks are required.
  5. 5.A chargeback or payment reversal has occurred.
  6. 6.Withholding is necessary to comply with applicable law, regulatory requirements or a lawful request from a competent authority.

Payout Processing

These safeguards help protect Buyers, Sellers and the Platform by ensuring that payouts are released only after legitimate transactions have been completed and any outstanding issues have been resolved.

Once all applicable conditions have been satisfied, LUXSAL will process the Seller's payout to the verified bank account provided during Seller verification. While LUXSAL aims to process payouts promptly, actual crediting times may vary depending on the payment service provider or financial institution.

This provision clarifies that LUXSAL is responsible for initiating the payout, while the time taken for funds to appear in the Seller's account may depend on third-party banking or payment systems.

11.4

Withholding of Funds

LUXSAL may withhold, reverse, or debit Seller payouts where there are reasonable grounds to suspect fraud, high chargeback ratio, policy breach, or regulatory inquiry. Withheld funds may be used to satisfy refunds or penalties.

11.5

Commission & Marketplace Fees

A. Commission and Service Fees

LUXSAL charges commissions and other applicable marketplace fees for facilitating transactions completed through the Platform. These fees support the operation, maintenance and continuous improvement of the Marketplace and enable LUXSAL to provide secure payment processing, escrow services, Buyer Protection, customer support, fraud prevention and other marketplace services.

Marketplace commissions and service fees allow LUXSAL to operate a secure, reliable and sustainable Platform while continuously improving the services provided to Buyers and Sellers.

B. Fee Disclosure

Before a Buyer completes a transaction and before a Seller accepts an order through the Platform, LUXSAL will clearly communicate all applicable commissions, marketplace fees, payment processing charges and any other authorised deductions.

Where applicable, these fees will be displayed on the Platform, Seller Dashboard, pricing schedule or checkout page before the transaction is completed.

Transparent disclosure enables Buyers and Sellers to understand the costs associated with each transaction and make informed decisions before proceeding.

C. Commission Deductions

Upon successful completion of a transaction and the release of escrow funds, LUXSAL may deduct the applicable commission, payment gateway charges, taxes (where required by law), refunds, approved return costs recoverable from the Seller, and any other authorised fees before remitting the remaining balance to the Seller.

Deductions are applied only in accordance with this Policy Suite or applicable law and help ensure the proper administration of marketplace transactions.

D. Seller Payout Statement

Before each payout is processed, Sellers will have access to a breakdown of the applicable deductions through their Seller Dashboard or other communication provided by LUXSAL.

The payout summary may include:

  1. 1.Gross sale amount.
  2. 2.LUXSAL commission.
  3. 3.Payment gateway charges.
  4. 4.Buyer Protection cost recoverable from the Seller, where applicable.
  5. 5.Delivery-related deductions, where applicable.
  6. 6.Taxes or statutory deductions, where required.
  7. 7.Refund adjustments, if any.
  8. 8.Final net payout.

E. Changes to Commission and Marketplace Fees

LUXSAL reserves the right to review, introduce, amend or discontinue its commission structure, marketplace fees or other service charges from time to time.

Where any material change affects existing fee structures, LUXSAL will provide reasonable prior notice through the Platform, email or other appropriate communication channels before the revised fees take effect.

Continued use of the Platform after the effective date of the revised fees constitutes acceptance of the updated fee structure.

As the Marketplace evolves, LUXSAL may adjust its pricing to reflect operational costs, regulatory requirements, market conditions or improvements to Platform services. Providing advance notice ensures transparency and allows Sellers to make informed business decisions.

F. No Hidden Charges

LUXSAL is committed to transparent pricing. No commission, marketplace fee or authorised deduction will be applied unless it has been disclosed to the Seller in accordance with this Policy Suite or otherwise communicated before the relevant transaction.

This commitment promotes fairness, strengthens trust between LUXSAL and its Users, and ensures that Sellers understand the financial implications of using the Platform before completing transactions.

The current commission schedule forms part of this Policy Suite and is incorporated by reference. The applicable commission rates may differ based on product category, promotional campaigns, Seller status or other commercial arrangements approved by LUXSAL.
